Terms of Service
Acceptable use, IP responsibility & liability.

Draft template, not legal advice. This is a starting point for a lawyer to review and localize before launch. A disclaimer reduces but does not fully eliminate platform liability; the bring-your-own-Printify model (designs land in your own account) is what isolates most of the real risk.
1. What MerchLab is
MerchLab is a software tool that helps you generate artwork from prompts and turn it into print-on-demand products in your own connected Printify account. MerchLab does not design on your behalf, does not choose what you sell, and does not manufacture, fulfill, or sell any physical product. You direct the tool; the output and its use are yours. MerchLab simply helps you go from prompt to finished product.
2. Your responsibility for content and IP
You are solely responsible for everything you generate, publish, and sell using MerchLab, including ensuring that your prompts, designs, text, and products:
- do not infringe any third party's copyright, trademark, trade dress, right of publicity, or other proprietary right;
- do not use brand names, logos, characters, celebrities, or protected phrases you are not authorized to use;
- comply with the terms, policies, and laws of every marketplace and sales channel you publish to (Printify, Etsy, Amazon, Shopify, etc.).
You represent and warrant that you hold all rights necessary for your prompts and the resulting designs. Prompting lawfully and correctly is your responsibility.
3. Acceptable use (prohibited content)
You may not use MerchLab to generate or publish content that is illegal or prohibited by law or by our service providers, including: sexual content involving minors; real-world graphic violence or gore; content promoting hatred or violence against protected groups; and other unlawful material. We apply a light automated filter to block clearly prohibited prompts. This filter is a courtesy safeguard, not a guarantee, and does not transfer responsibility for your content to us.
4. No IP screening / no endorsement
MerchLab does not pre-clear, vet, or guarantee that your designs are free of third-party rights, and does not monitor or approve what you publish. The absence of a block or warning is not advice that a design is safe to sell.
5. Indemnification
You agree to defend, indemnify, and hold harmless MerchLab, its owners, and operators from and against any claims, demands, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your prompts, designs, products, or use of the Service; (b) your infringement or alleged infringement of any third-party right; and (c) your violation of any law or marketplace policy.
6. Disclaimer of warranties
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that a design is original, lawful, or sellable.
7. Limitation of liability
To the maximum extent permitted by law, MerchLab and its operators are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any IP claim, takedown, account suspension, lost profits, or lost sales arising from your use of the Service. Total aggregate liability is limited to the amount you paid in the three months before the claim.
8. Subscriptions, success fee, credits & refunds
Paid plans bill monthly through Stripe. Generation is metered in credits: credits are reserved when a batch starts, committed per successfully generated design, and automatically released back to your balance when a design or batch fails. Monthly plan credits expire at the end of each billing period. You can cancel any time from the billing portal; access and remaining credits run to the end of the paid period.
In addition to your plan, MerchLab charges a per-sale success fee, a percentage of each qualifying sale you make through a connected store (5% on Starter and Maker, 3% on Pro, 0% on Studio; the current rate for your plan is always shown in Billing). The fee is calculated on the item sale price excluding shipping and tax, applies only to confirmed sales, and is automatically reversed if a sale is refunded or cancelled. Accrued success fees are added to the same monthly Stripe invoice as your plan, so you are charged once per period. 9. Termination
You may stop using MerchLab and delete your account at any time. We may suspend or terminate an account that violates these terms (including the acceptable-use rules above), abuses the service or its providers, or initiates chargebacks on legitimately delivered service. Where practical we will warn you first. On termination your workspace data is deleted per the Privacy Policy; designs already published to your own Printify account are yours and remain untouched.
10. Changes to these terms
We may update these terms as the product evolves. For material changes we will update this page and, where the change reduces your rights, notify you by email before it takes effect. Continuing to use MerchLab after a change takes effect means you accept the updated terms.
11. Acknowledgement
By using MerchLab you acknowledge that you have read and agree to the above, and that you are solely responsible for the legality and IP-compliance of the designs you create and the products you publish.
